Terms of Service
Last updated 14 October 2026. These terms are between you and IT-TECH, Montréal, Québec, Canada, the operator of Tray ERP.
These terms have not yet been reviewed by a lawyer. They are published because having stated terms is better than having none, and because we would rather you could read them before a sales call than after a signature. If you are a customer and your counsel needs changes, we expect that and we will negotiate the agreement that governs your subscription. A signed agreement between us always takes precedence over this page.
They govern your use of the Tray ERP application and this website. If your organisation has signed a separate agreement, order form or licence with IT-TECH, that document governs and these terms fill only the gaps it leaves.
Tray ERP is software for food and beverage manufacturing: receiving and quality control, lot traceability, recipes and bills of materials, inventory, orders and reporting. We provide it as a hosted service. You are responsible for the accuracy of the data you put into it and for the decisions you make using it.
If you cancel within 30 days of your subscription starting, we refund the subscription fees you have paid for that period and the one-time setup fee in full. Setup is work we perform rather than software you access, so we could reasonably keep it. We do not. For 30 days your whole outlay is recoverable, including the cutover.
Where we commit in writing to a go-live date or a specific remedy if we miss it, that commitment lives in your signed agreement with its own definition of “live”. Timeframes described on this website are what we plan and scope to, not a contractual promise.
Where IT-TECH has granted a perpetual licence rather than a subscription, that licence grants a non-exclusive, non-transferable right to use the version and scope stated in the licence agreement. Hosting, support, updates and any other ongoing service are separate from the licence and apply only where the agreement says so.
Do not use Tray to break the law, to store data you have no right to hold, to attempt to access another customer’s tenant, to probe or disrupt the service, or to resell access without our written agreement. You are responsible for your users’ actions and for keeping credentials secure.
We aim to keep Tray available and to respond quickly when production is affected. We do not currently publish a measured uptime figure or an SLA, and we will not claim one we have not measured. Where your agreement contains service levels, those apply.
IT-TECH owns Tray ERP, this website and everything in them apart from your data. Your subscription grants a right to use the service, not ownership of it.
You may cancel at any time. We may suspend or terminate for non-payment or for a serious breach of these terms, with notice and a reasonable chance to fix it where the circumstances allow. On termination, section 5 governs your data.
We provide Tray with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as is. Our total liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential loss.
Nothing here limits liability that cannot be limited by law, and nothing here removes rights you have as a consumer under Québec or Canadian law.
We may update these terms. Material changes will be notified to active customers by email at least 30 days before they take effect, and the date at the top of this page will change.
These terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. The courts of the judicial district of Montréal have jurisdiction.
